Terms of Service

Effective as of [EFFECTIVE_DATE]. These Terms of Service (the "Terms") govern your access to and use of the Trellis LLC ("Trellis", "we", "us") educator observation and evaluation platform and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility and Accounts

  • The Service is intended for use by school districts, schools, and their staff (collectively, "Institutions").
  • You must be authorized by your Institution to create or use an account.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.

2. Permitted Use and Acceptable Use

  • Use the Service solely for legitimate educational and administrative purposes authorized by your Institution.
  • Do not upload unlawful, infringing, or harmful content, including content containing student PII in free-text fields unless expressly permitted by your Institution and applicable law.
  • Do not interfere with or disrupt the Service, attempt to bypass security or access controls, or reverse engineer components except to the extent permitted by law.

3. Privacy and Data Protection

Our processing of personal information is described in our Privacy Policy located at /policies/privacy-policy. If Trellis processes data on behalf of an Institution, the parties may execute a Data Processing Agreement (DPA) that governs in the event of conflict with these Terms regarding processing obligations.

  • We act as an operator/service provider for Institutions and process data per contractual instructions.
  • We do not sell personal information or use it for targeted advertising.

4. AI and Generated Content

  • The Service may use third-party AI providers to generate summaries, feedback, and embeddings. Prompts may include user-provided text.
  • AI outputs may contain errors; users should review and verify outputs before relying on them.
  • Institutions are responsible for ensuring that prompts and outputs comply with applicable law and policy.

5. Customer Content and License

You and your Institution retain ownership of content you submit to the Service ("Customer Content"). You grant Trellis a non-exclusive, worldwide, royalty-free license to host, process, and display Customer Content solely to provide and maintain the Service and as otherwise permitted by these Terms and any applicable DPA.

6. Service Changes and Availability

  • We may modify or discontinue features with reasonable notice where practicable.
  • We use commercially reasonable efforts to maintain availability but do not guarantee uninterrupted access.

7. Fees

If your Institution has a paid subscription or order, fees, billing, and renewal terms are governed by the applicable order form and/or agreement. Unless otherwise stated, fees are non-refundable.

8. Confidentiality

Each party may receive confidential information of the other. The receiving party will use the same degree of care to protect such information as it uses for its own confidential information, and at least reasonable care, and will use it only as permitted by these Terms or an applicable agreement.

9. Security

Trellis maintains administrative, technical, and physical safeguards designed to protect the Service as described on our Security page.

10. Warranties and Disclaimers

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • We do not warrant that the Service will be error-free or uninterrupted.

11. Limitation of Liability

To the maximum extent permitted by law, Trellis and its suppliers will not be liable for any indirect, incidental, special, consequential, or exemplary damages, nor for any loss of use, data, or profits, arising from or relating to the Service or these Terms, even if we have been advised of the possibility of such damages. Our aggregate liability will not exceed the amounts paid to Trellis for the Service in the twelve (12) months preceding the event giving rise to the claim.

12. Indemnification

To the extent permitted by law, you and/or your Institution will defend, indemnify, and hold harmless Trellis from and against claims arising out of your use of the Service in violation of these Terms or applicable law.

13. Suspension and Termination

  • We may suspend or terminate access for violations of these Terms, risk to the Service, or as required by law.
  • Upon termination, your right to use the Service will cease. Certain sections, including confidentiality, IP, disclaimers, limitations, and indemnification, will survive.

14. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of laws principles, unless your Institution and Trellis agree otherwise in writing.

15. Changes to These Terms

We may update these Terms to reflect changes to the Service or legal requirements. If changes are material, we will provide reasonable notice through the Service or to your Institution.
